Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SearchStreet platform (“Service”), operated by SearchStreet (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

SearchStreet is a subscription-based software platform that provides deal sourcing, pipeline management, due diligence tools, closing workflows, portfolio management, and investor relations capabilities for independent sponsors, search fund operators, and ETA practitioners.

2. Eligibility

The Service is intended for business use. By using SearchStreet, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@unpromptedholdings.com if you suspect unauthorized access.

4. Subscription and Payment

• Pricing: The Service is offered at $200 per month (USD).
• Billing: Subscriptions are billed monthly in advance. Payment is due at the start of each billing cycle.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing cycle.
• Price Changes:We reserve the right to modify pricing with 30 days’ written notice. Continued use after the effective date constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Use the Service to store or transmit malicious code
• Resell, sublicense, or redistribute the Service without our prior written consent
• Use automated systems to scrape or extract data from the Service beyond its intended functionality

6. Intellectual Property

All rights, title, and interest in the Service — including software, design, trademarks, and documentation — remain the exclusive property of SearchStreet. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your active subscription.

7. Your Data

You retain ownership of all data, documents, and content you upload to or create within the Service (“Your Data”). You grant us a limited license to host, process, and display Your Data solely to provide the Service. We will not sell, share, or use Your Data for purposes unrelated to delivering the Service. Upon account termination, you may request export of Your Data for up to 30 days.

8. AI-Powered Features

SearchStreet incorporates artificial intelligence to assist with deal sourcing, document analysis, and other functions. AI-generated outputs are provided for informational purposes only and do not constitute professional, legal, financial, or investment advice. You are solely responsible for verifying AI-generated outputs and for all decisions made based on them.

9. Third-Party Integrations

The Service may integrate with third-party tools and services (e.g., data rooms, CRM systems, accounting software). We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party integrations is subject to their respective terms.

10. Disclaimers

• THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
• WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
• AI-POWERED FEATURES MAY PRODUCE INACCURATE OR INCOMPLETE RESULTS. YOU ASSUME ALL RISK ASSOCIATED WITH RELIANCE ON SUCH OUTPUTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNPROMPTED HOLDINGS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless SearchStreet from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Security

We implement commercially reasonable security measures, including encryption of data at rest and in transit. We are actively pursuing industry certifications, including SOC 2, but do not currently hold such certifications. We will update this section as our compliance posture evolves.

14. Termination

We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 10, 11, 12, and 15 survive termination.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
